Settlement Agreement Key Terms

I. PARTIES

This Settlement Agreement ("Agreement") is made and entered into by and between [Claimant Name] ("Claimant") and [Respondent Name] ("Respondent"). Claimant and Respondent may be referred to collectively as the "Parties."

II. RECITALS

WHEREAS, a dispute has arisen between the Parties regarding the following incident or matter: [Description of the dispute...] (the "Dispute"); and

WHEREAS, the Parties desire to resolve the Dispute and all claims that were or could have been raised in connection with the Dispute, without the admission of liability by any Party.

III. SETTLEMENT PAYMENT

IV. RELEASE OF CLAIMS

V. CONFIDENTIALITY

The Parties agree that the terms and conditions of this Agreement, including the Settlement Amount, shall remain confidential and shall not be disclosed to any third party, except as required by law or to their respective legal and financial advisors.

VI. NON-DISPARAGEMENT

The Parties agree not to make any statements, written or verbal, or cause or encourage others to make any statements, that defame, disparage or in any way criticize the personal or business reputation, practices, or conduct of the other Party.

VII. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of laws principles.
